Exercise of options, issue of options, director dealing

and purchase of shares into treasury

 

Yü Group PLC (AIM: YU.), the independent supplier of gas and electricity, meter asset owner, and installer of smart meters to the UK corporate sector, announces that it has today issued 254,120 ordinary shares of 0.5p each ("Ordinary Shares") in the capital of the Company following the exercise of options. Paul Rawson, Group Chief Financial Officer, exercised options over 121,465 Ordinary Shares and Navaz Dean, Group HR Director, exercised and sold options over 107,116 Ordinary Shares, with the balance of Ordinary Shares issued to a former employee.

The Company, utilising its existing authorities to repurchase its ordinary shares, has today purchased 234,978 Ordinary Shares at a price of £17.00 to hold in treasury.  It is intended that these Ordinary Shares held in treasury will be utilised to satisfy future option exercises.

Following the exercise of his options, Paul Rawson and a Person Closely Associated with him, have sold in aggregate 199,859 Ordinary Shares. Following these transactions, Paul Rawson has a notifiable interest in 92,966 Ordinary Shares alongside options over a further 194,885 Ordinary Shares in the Company and Navaz Dean holds 13,988 Ordinary Shares alongside options over a further 107,894 Ordinary Shares in the Company.

Yü Group has also issued 30,000 options to Gary Proctor, Managing Director of Yü Smart, under the Group's existing Long-Term Incentive Plan. The options have an exercise price, at par value, of £0.005 and vest on 31 March 2026 subject to the achievement of certain performance conditions.

Admission to trading and total voting rights

Following admission to trading of the Ordinary Shares, which is expected to take place on 22 May 2024, the Group's total number of Ordinary Shares in issue will increase to 17,019,315 and the number of shares held in treasury will be 234,978 Ordinary Shares representing 1.4% of the Company's issued share capital. The number of voting rights in the Company will be 16,784,337.
