Keywords Studios, the international provider of creative and technology-enabled solutions to the global video games and entertainment industries, today announces the issuance of 1,245 new ordinary shares to the vendors of Waste Creative Ltd[1] ("Waste") in respect of the share element of contingent consideration due based on the performance of Waste post completion.
Since the acquisition, the shares to be issued relating to Waste have been fully represented in the reported earnings per share numbers through the basic and diluted weighted average denominators used.
Application has been made to the London Stock Exchange for the admission of these 1,245 new ordinary shares to trading on AIM. Admission of the new shares is expected to take place at 8:00am on 19 March 2024.
The Company's total issued share capital following admission will consist of 79,428,122 ordinary shares of one pence each with one voting right per share. There are 530,662 Ordinary Shares in the Company's Employee Benefit Trust ("EBT"), and the EBT has waived its right to exercise its voting rights and to receive dividends in respect of these Ordinary Shares.
Therefore, the number of Ordinary shares with voting rights following admission will be 78,897,460. This figure may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company following admission.
