Under the terms of their appointment, Nigel Burton will, for the first two years of his appointment, have his accrued directors fees settled by the allotment to him of new Modern Water Ordinary Shares ("Director Fee Shares"), which will be issued at 0.5p per New Ordinary Share. In the event of a change of control of Modern Water plc, the Director Fee Shares for two years will immediately become payable in full with Modern Water Ordinary Shares allotted automatically to the Director prior to completion of the change of control.
