Exercise of Warrants and Options

Total Voting Rights

London listed UK Oil & Gas Investments PLC (LSE AIM: UKOG) announces that it has received notices of the exercise of warrants and options (the "Exercise") to subscribe for a total of 70,553,844 new ordinary shares in the Company (the "New Ordinary Shares"). The exercise prices of the warrants and options are as follows: 13,053,844 at 1.48 pence and 57,500,000 at 0.40 pence. The total additional funds received by the Company is £423,196.

Application has been made for these New Ordinary Shares to be admitted to trading on AIM and it is anticipated that trading in such shares will commence on or around 23 April 2015.

Following Admission, the Company's enlarged issued share capital will comprise 1,763,617,353 ordinary shares. The Company does not hold any shares in treasury. This figure of 1,763,617,353 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
