Transaction in Own Shares, Total Voting Rights and Directors' Dealing

 

Transaction in Own Shares

As recently announced in the Chairman's Statement of the Company Annual Report and Accounts 2014, Arden announces that on January 21st, 2015 it bought back to cancel a total of 2,330,130 Ordinary Shares of 10 pence each in the Company ("Ordinary Shares") at a price of 47 pence each.

 

 

Total Voting Rights

As a result of the above transaction and a recent exercise of share options by staff, Arden's issued share capital comprises 20,628,935 Ordinary Shares of which 415,007 Ordinary Shares are held in treasury leaving a balance of 20,213,928 Ordinary Shares with voting rights.

 

The above figure (20,213,928 Ordinary Shares) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of Arden under the FCA's Disclosure and Transparency rules.

 

 

Directors' Dealing

As a result of participating in the above share transaction, James Reed-Daunter, Chief Executive Officer, has sold 500,000 Ordinary Shares at 47 pence each.  His beneficial interest following the sale is 2,353,644 Ordinary Shares representing a holding in the Company of 11.64%.

 

As a result of participating in the above share transaction, Jonathan Keeling, Executive Deputy Chairman, has sold 400,000 Ordinary Shares at 47 pence each.  His beneficial interest following the sale is 2,059,334 Ordinary Shares representing a holding in the Company of 10.19%.

 

Under the AIM Rules, the participation of James Reed-Daunter and Jonathan Keeling in the transaction described above is considered a related party transaction due to their position as Directors of Arden.  The Directors of the Company (with the exception of James Reed-Daunter and Jonathan Keeling) consider, having consulted with the Company's Nominated Adviser, Altium, that the terms of the transaction are fair and reasonable insofar as Arden's shareholders are concerned.
