Result of General Meeting and Issue of Shares

The Company announces that at its General Meeting held today, the Resolution put to Shareholders was duly passed. Accordingly, an application has been made for 10,177,983 ordinary shares of 10 pence each ("New Ordinary Shares") to be admitted to trading on AIM ("Admission") in order to satisfy subscriptions received by the Company, as detailed in the circular sent to Shareholders on 23 June 2014 (the "Circular").  

Following Admission, directors John Ketteley and Jonathan Cohen who subscribed for 626,505 and 48,192 ordinary shares respectively, will hold 9,049,760 and 166,400 ordinary shares in the Company respectively. Furthermore, Non-Executive Directors Jonathan Edwards and Jonathan Cohen   have subscribed for 62,500 and 121,950 ordinary shares as part of the excess subscription at the subscription price of 20.75 pence per share and following Admission, will hold 112,500 and 288,350 ordinary shares in the Company respectively.

It is intended that an additional application will be made for new ordinary shares to be admitted to trading on AIM to satisfy further subscriptions within the Company's authorities as granted at the General Meeting today. The relevant announcement will be made in due course.

It is expected that Admission will occur at 8.00 a.m. on 10 July 2014. Following Admission, the Company's issued share capital will consist of 73,909,627 ordinary shares of 10 pence each. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
