                           Voting Rights and Capital


At the date of this announcement SThree plc's issued capital consists of
136,588,097 ordinary shares of 1p each with voting rights.  Currently there are
no shares held in Treasury, therefore, the total number of voting rights in
SThree plc is 136,588,097.


The above figure 136,588,097 may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change in their interest in, SThree plc under the FSA's
Disclosure and Transparency Rules.
