SHOP APOTHEKE EUROPE: General Meeting gives unanimous approval to takeover of Europa Apotheek Venlo

- 100% approval of all agenda items

- Takeover and capital increase planned for November

Venlo/Cologne, 6 November 2017. Today's extraordinary general meeting of SHOP APOTHEKE EUROPE N. V. strongly supports the company's growth strategy by consenting to the takeover of Europa Apotheek Venlo by acquisition of 100% of the shares of EHS Europe Health Services B.V. With the approval of 100% of the present share capital, the General Meeting approved all resolutions submitted by the Managing Board and the Supervisory Board. In total, 57.83% of the share capital was represented. This corresponds to 5,245,250 shares (of 9,069,878 total shares).

With their voting rights the shareholders paved the way for the acquisition of Europa Apotheek Venlo and expressed their positive assessment of the transaction. The required capital increase will be implemented after prospectus approval by the Dutch financial market Supervisory Authority AFM and notification to the German Federal Financial Supervisory Authority (BaFin). The takeover of Europa Apotheek Venlo is therefore expected to be completed this month. The listing of the new shares of SHOP APOTHEKE EUROPE on the regulated market of the Frankfurt Stock Exchange (Prime Standard) under the common ticker symbol "SAE", the ISIN NL0012044747 and the security identification number (WKN) A2AR94 will also follow shortly after completion of the transaction.

SHOP APOTHEKE EUROPE generated sales of about EUR 191 m in the first nine months of 2017 and a growth of +53% compared to the same period last year. Headquartered in Venlo (the Netherlands), SHOP APOTHEKE EUROPE also has offices in Cologne, Düsseldorf and Tongeren, Belgium. The online pharmacy has been listed on the regulated market of the Frankfurt Stock Exchange (Prime Standard) since 13 October 2016.
