ACS, Actividades de Construcción y Servicios, S.A., mit Sitz in Madrid, Spanien, hat uns am 6. Oktober 2014 gemäß § 25a Abs. 1 WpHG folgende Mitteilung zugeleitet:

Dear Madams and Sirs,
We, ACS, Actividades de Construcción y Servicios, S.A., Avenida de Pío XII, 102, 28036 Madrid, Spain, hereby notify you that - taking into account intra-group agreements - on 2 October 2014 our aggregated holding in voting rights in HOCHTIEF Aktiengesellschaft, Opernplatz 2, 45128 Essen, Germany, within the meaning of Secs. 21 and 22 of the German Securities Trading Act, in instruments within the meaning of Sec. 25 para. 1 sentence 1 of the German Securities Trading Act, and in instruments within the meaning of Section 25a para. 1 sentence 1 of the German Securities Trading Act exceeded the threshold of 75% of the voting rights in HOCHTIEF Aktiengesellschaft and on that day amounted to 75.09% of the voting rights in HOCHTIEF Aktiengesellschaft, corresponding to 52,043,454 of a total number of 69,309,434 voting rights.
60.66% of these voting rights in HOCHTIEF Aktiengesellschaft, corresponding to 42,043,454 of a total number of 69,309,434 voting rights in HOCHTIEF Aktiengesellschaft, were holdings within the meaning of Secs. 21 and 22 of the German Securities Trading Act and were either directly held by us or attributed to us pursuant to Sec. 22 para. 1 sentence 1 no. 1 of the German Securities Trading Act from shares in HOCHTIEF Aktiengesellschaft held by our subsidiaries.
9.73% of these voting rights, corresponding to 6,745,342 of a total number of 69,309,434 voting rights, were the subject-matter of an instrument within the meaning of Section 25a para. 1 sentence 1 of the German Securities Trading Act indirectly held by us. This instrument is directly held by our subsidiary Cariàtide, S.A. and enables Cariàtide, S.A. to acquire from ACS, Actividades de Construcción y Servicios, S.A. - under certain circumstances - still up to 6,745,342 voting shares in HOCHTIEF Aktiengesellschaft until expiry of the instrument on 31 August 2015. 4.70% of these voting rights, corresponding to 3,254,658 of a total number of 69,309,434 voting rights, were the subject-matter of an instrument within the meaning of Section 25a para. 1 sentence 1 of the German Securities Trading Act directly held by us. This contingent instrument enables us - under certain circumstances - to acquire from our subsidiary Cariàtide, S.A. up to 3,254,658 voting shares in HOCHTIEF Aktiengesellschaft until expiry of the instrument on 31 August 2015. No instruments within the meaning of Sec. 25 para. 1 sentence 1 of the German Securities Trading Act were held by us on that day.
