LEG Immobilien AG: Management Board and Supervisory Board support Business Combination of LEG Immobilien AG and Deutsche Wohnen AG
LEG Immobilien AG and Deutsche Wohnen AG have signed today an agreement on the business combination of the companies. The combination shall be structured as voluntary offer of Deutsche Wohnen AG to the shareholders of LEG Immobilien AG to tender their LEG name shares in exchange for Deutsche Wohnen shares. Deutsche Wohnen intends to offer 3.30 newly-issued Deutsche Wohnen shares in exchange for one LEG share (subject to final determination of the minimum price). The newly-issued shares of Deutsche Wohnen AG shall carry dividend rights for the period starting on January 1, 2015. The exchange ratio values the equity capital of LEG Immobilien AG at EUR 4,624 million. The business combination shall be closed until the end of December 2015. The business combination aims at creating a leading European residential real estate company, the improvement of the operative performance and the achievement of synergies. The new group created by the business combination shall further pursue the current growth strategy by using the resulting synergies to realize additional value for the shareholders of the joint group.
