On May 17, 2013, Credit Suisse Group AG, Zürich, Switzerland has informed
us according to Article 21, Section 1 of the WpHG that via shares its
Voting Rights on Bayer Aktiengesellschaft, Leverkusen, Germany, have
exceeded the 3% threshold of the Voting Rights on May 14, 2013 and on that
day amounted to 3.09% (this corresponds to 25523191 Voting Rights).
According to Article 22, Section 1, Sentence 1, No. 6 in connection with
sentence 2 of the WpHG, 0.07% of the Voting Rights (this corresponds to
540475 Voting Rights) is to be attributed to the company.
According to Article 22, Section 1, Sentence 1, No. 1 of the WpHG, 3.02% of
the Voting Rights (this corresponds to 24982716 Voting Rights) is to be
attributed to the company from Credit Suisse AG.
