The amount of voting rights of BlackRock Financial Manangement, Inc. in
Bayer Aktiengesellschaft exceeded the threshold of 5% on November 18, 2010
and amounts to 5.0003% (41,350,004 voting rights) on that day. All of the
voting rights are attributable to BlackRock Financial Management, Inc.
pursuant to Article 22 Section 1 Sentence 1 No 6 in connection with
Sentence 2 WpHG.
