On June 28, 2011, Société Générale S.A., Paris, France, has notified us
pursuant to section 21 (1) WpHG of the following:

The amount of voting rights of Société Générale S.A. in Bayer
Aktiengesellschaft fell below the threshold of 3% on June 24, 2011 and
amounts to 2.76% ( 22,838,483 voting rights) on that day. Société Générale
S.A. holds 0.23% of the voting rights directly; 2.53% of the voting rights
are attributable to her pursuant to Article 22 Section 1 sentence 1 No 6 in
connection with sentence 2 WpHG.
