section 21 (1) WpHG of the following:

The amount of voting rights of Société Générale S.A. in Bayer
Aktiengesellschaft exceed the threshold of 3% on May 25, 2011 and amounts
to 3.44% (28,439,739 voting rights) on that day. The Société Générale S.A.
holds 0.43% of the voting rights directly; 3.01% of the voting rights are
attributable to her pursuant to Article 22 Section 1 sentence 1 No 6 in
connection with sentence 2 WpHG.

2. Lyxor Asset Management S.A., Paris, France, has notified us pursuant to
section 21 (1) WpHG of the following:

The amount of voting rights of Lyxor Asset Management S.A. in Bayer
Aktiengesellschaft exceed the threshold of 3% on May 25, 2011 and amounts
to 3.01% of the voting rights (24,902,994 voting rights). All of the voting
rights are attributable to Lyxor Asset Management S.A. pursuant to Article
22 Section 1 sentence 1 No 6 in connection with sentence 2 WpHG.

 
3. Lyxor International Asset Management S.A., Paris, France, has notified
us pursuant to section 21 (1) WpHG of the following:

The amount of voting rights of Lyxor International Asset Management S.A. in
Bayer Aktiengesellschaft exceed the threshold of 3% on May 25, 2011 and
amounts to 3.01% of the voting rights (24,902,994 voting rights). All of
the voting rights are attributable to Lyxor International Asset Management
S.A. pursuant to Article 22 Section 1 sentence 1 No 6 WpHG.
