Starwood European Real Estate Finance Limited

Issue of Equity

Starwood European Real Estate Finance Limited (the "Company") announces that, subject only to Admission (as defined below), 1 million new ordinary shares in the Company ("Shares") will be issued for cash at a price of 104.50 pence per Share to meet market demand.

Application has been made to the UK Listing Authority and the London Stock Exchange for the Shares once issued to be admitted to the Official List and to trading on the Main Market ("Admission"). It is expected that Admission will become effective on 9 April 2013.

Following this issue of Shares, the Company's issued share capital consists of 237,500,000 Shares.  Accordingly, the total number of voting rights in the Company will be 237,500,000 and this figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.

In order to seek to manage any Share price premium over the net asset value per Share, if the Directors believe there is investor demand that cannot be satisfied through the secondary market, the Company will continue to issue additional Shares within the limits imposed by the Prospectus Rules.
